Terms and Conditions
Effective date: 25 August 2026. These Terms apply to orders placed on or after this date. When we change these Terms we update this date, and the version in force on the date of your order is the version that governs it.
Welcome to the Medibact website located at https://medibact.com (the "Site"). These Terms and Conditions (the "Terms") govern your access to and use of this Site, operated by MedB LLC ("Medibact", "we", "us" or "our"). By accessing and using this Site, you ("Buyer") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue immediately.
1. Use of Site and Products
1.1 Intended Use.
The Products offered for sale on this Site are intended for legitimate research and development purposes only. They are not intended for human or animal consumption, use as a drug, food drugs, food additives, cosmetics, or household application of any kind. Medibact disclaims all liability for misuse and provides no instructions for usage. The Products are not intended to diagnose, cure, mitigate, treat or prevent any disease.
1.2 Age Restriction.
You must be at least 21 years old to access and/or purchase from this Site. By doing so, you represent and warrant that you are at least 21 years old.
1.3 Compliance with Laws.
You are responsible for ensuring compliance with all local, state, and federal laws concerning the purchase, handling, storage, and use of the Products. Medibact is not liable for any damages caused by the misuse of the products.
1.4 No Resale.
Products sold on this Site are for the Buyer's own research use only. Any resale or transfer of the products to third parties is strictly prohibited.
1.5 Toxic Substances Control Act.
Buyer is solely responsible for ensuring that the products purchased from Medibact are approved for use under the Toxic Substances Control Act (TSCA), where applicable.
1.6 Product Verification.
If the Products purchased from Medibact are repackaged, relabeled, or used as starting material or components of other products, the Buyer agrees to verify Medibact's assay results independently. Medibact assumes no liability for any downstream misuse, injury, or consequences incurred by the Buyer or third-party users.
2. Orders and Payment
2.1 Import Tax Disclaimer: For Customers Outside the United States
Please be aware that deliveries to countries outside the United States may incur additional charges including, but not limited to import duties and related fees. These charges are not included in our pricing and are not covered by Medibact. If the shipping company or customs authorities require payment of customs taxes or duty fees, you, as the recipient, will be responsible for paying these amounts. We recommend familiarizing yourself with your country's import regulations and potential additional costs before placing an order.
2.2 Accepted Payment Methods.
Credit card & debit card; mobile wallets like Venmo, Cash App, Apple Pay and Google Pay; e-Check, ACH, Direct Debit, and cryptocurrencies. For e-check/ACH payments, you authorize Medibact to electronically debit your account for the amount of your order.
2.3 Prices and Currencies.
Product prices are listed in U.S. Dollars and other currencies based on your region. Prices are subject to change at any time. The Buyer is responsible for any applicable sales tax, import duties, and fees.
2.4 Order Acceptance.
Your order is not accepted until Medibact sends an order confirmation. Medibact reserves the right to refuse any order in its sole discretion.
2.5 Shipping.
Products are shipped by FedEx whenever possible. Buyer is responsible for shipping costs unless specified. Medibact is not liable for shipping delays or damage that occurs during shipping.
2.6 Value-Added Tax.
We do not collect value-added tax (VAT), goods and services tax (GST) or any equivalent consumption tax on your behalf, and we do not remit any such tax to any tax authority. The price shown at checkout is the amount we charge you; it does not include any value-added tax of your country. Any such tax that may be due in your jurisdiction is not collected by us and remains your responsibility, together with the import duties and fees described in section 2.1.
3. Returns and Refunds
3.1 No Returns.
Due to the nature of the products sold on this Site, Medibact does not accept any returns under any circumstances. All purchases made through this Site are considered final and non-refundable or modifiable unless a purchase cannot be fulfilled. Medibact encourages all customers to review their orders carefully before completing a purchase.
3.2 Digital Products.
Digital products — including peptide guides, protocol sheets and library access — are supplied electronically and are made available immediately upon successful payment. No physical item is shipped. Because supply begins immediately, digital purchases are final and non-refundable once access has been granted, except where a purchase cannot be fulfilled or where a refund is required by applicable law. Access is granted to the purchasing account and is not transferable.
3.3 Consumers Outside the United States.
If you are a consumer resident in the European Economic Area, mandatory consumer-protection law in your country of residence may give you rights that these Terms cannot remove, including a statutory right to withdraw from a distance contract. Those rights, and the limited circumstances in which they do not apply, are set out in our EU consumer terms, which prevail over sections 3.1 and 3.2 for such purchases. If you are a consumer anywhere else outside the United States, nothing in these Terms deprives you of the protection of any provision of the law of your country of residence that cannot be derogated from by agreement.
4. Intellectual Property
4.1 Ownership.
The Site and its entire contents, features and functionality, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection and arrangement, are owned by Medibact, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
4.2 Limited License.
You are granted a limited, non-transferable, non-exclusive, revocable license to access and use the Site for research-related purposes only. You may not copy, modify, distribute, or create derivative works from the Site content without written consent.
5. Third-party Content
This Site may include links to third-party websites. Medibact is not responsible for the content, policies, or availability of these external sites and disclaims all liability from their use.
6. Assumption of Risk, Indemnity, and Reviews
6.1 Assumption of Risk and Indemnity.
The Buyer accepts these Terms, including this section, by ticking the acceptance box presented at checkout and by completing a purchase. No signature is required: completing a purchase constitutes the Buyer’s agreement to these Terms as in force on the date of the order.
The Buyer acknowledges that the research compounds sold on this Site are intended solely for lawful research purposes and are not approved by the U.S. Food and Drug Administration for human or animal use. To the fullest extent permitted by applicable law, the Buyer assumes all risks associated with the purchase, possession, handling and use of the research compounds, and agrees to indemnify, defend and hold harmless MedB LLC, trading as Medibact, and its officers, directors, employees, contractors, agents and affiliates from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from or related to the Buyer’s purchase, possession, handling or use of the research compounds, except to the extent caused by Medibact’s own wilful misconduct. This section binds the Buyer and the Buyer’s successors and assigns.
If the Buyer is a consumer, nothing in this section limits or excludes any right or protection that mandatory law grants the consumer and that cannot be waived by agreement.
6.2 Reviews and Feedback.
You are free to publish honest reviews, ratings, complaints and other assessments of us, our products and your experience with us, anywhere and at any time, including on third-party review sites, on social media, and with the Better Business Bureau or any government agency. Nothing in these Terms restricts that right, and we will not charge you any fee or impose any contractual penalty for exercising it.
We are not obliged to publish or host any content. If you submit a review or other content to any review or comment section we operate, we may decline to publish it, or may remove it, if it: (a) contains the personal information or likeness of another person, or is libelous, harassing, abusive, obscene, vulgar, sexually explicit, or is inappropriate with respect to race, gender, sexuality, ethnicity, or other intrinsic characteristic; (b) is unrelated to the goods or services offered on this Site; (c) is clearly false or misleading; (d) we reasonably believe is not a genuine review by an actual customer; (e) discloses our trade secrets or commercial or financial information considered privileged or confidential, or another person's personnel, medical or similar private information; (f) is unlawful; or (g) contains computer viruses, worms or other potentially damaging code. We apply these criteria equally to all submissions, whether positive or negative.
You keep ownership of any review or feedback you submit. By submitting it you grant us a non-exclusive, royalty-free, worldwide licence to host, display, reproduce and distribute it in connection with our business.
Nothing in this section limits any claim or defence available to either party under applicable law, including claims for defamation.
7. Disclaimer
DISCLAIMERS YOUR USE OF THE SITE, ITS CONTENT AND ANY PRODUCTS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY PRODUCTS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER MEDIBACT NOR ANY PERSON ASSOCIATED WITH MEDIBACT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE OR USE OF THE PRODUCTS. WITHOUT LIMITING THE FOREGOING, NEITHER MEDIBACT NOR ANYONE ASSOCIATED WITH MEDIBACT REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT OR ANY PRODUCTS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE OR ANY PRODUCTS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, MEDIBACT HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
7.1 Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDIBACT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, CONTRACTORS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
8. Governing Law and Jurisdiction
8.1 Governing Law.
All matters relating to the Site and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Wyoming without giving effect to any choice or conflict of law provision or rule. If you are a consumer, this choice of law does not deprive you of the protection of any provision of the law of the country in which you are habitually resident that cannot be derogated from by agreement.
8.2 Jurisdiction.
Any legal suit, action or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the state courts sitting in Sheridan County, Wyoming or the United States District Court for the District of Wyoming, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, and you consent to the transfer of any proceeding brought elsewhere to the courts named above under 28 U.S.C. § 1404(a).
If you are a consumer habitually resident in the European Economic Area, the United Kingdom or Switzerland, the preceding paragraph does not apply to you: you may bring proceedings relating to these Terms in the courts of the country in which you are domiciled or in the courts named above, at your option, and we will bring proceedings against you only in the courts of the country in which you are domiciled.
8.3 Legal Expenses.
In any legal proceeding between the parties arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees, filing fees and other costs of the proceeding from the other party, except where applicable law provides otherwise for a consumer.
8.4 Arbitration Agreement and Class Action Waiver.
Please read this section carefully. It affects your legal rights.
Informal resolution first. Before starting arbitration or court proceedings, you and Medibact each agree to first send the other a written description of the dispute (for you, by email to [email protected]) and to attempt in good faith to resolve it informally for sixty (60) days from receipt of that notice. This is a condition precedent to starting any proceeding under this section.
Agreement to arbitrate. If the dispute is not resolved informally, any dispute, claim or controversy arising out of or relating to these Terms, the Site, or any purchase from Medibact shall be finally resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered in any court of competent jurisdiction. If the AAA is unavailable or declines to administer the arbitration, the parties shall agree on an alternative consumer arbitration administrator, and failing agreement within thirty (30) days either party may ask a court described in section 8.2 to appoint one.
Exceptions. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief from a court described in section 8.2 for actual or threatened infringement or misuse of intellectual property or confidential information. Section 8.2 also governs any dispute that a court or arbitrator finally determines is not arbitrable and any proceeding to compel arbitration or to confirm, enforce or vacate an award.
Class action and jury waiver. All disputes shall be arbitrated or litigated only on an individual basis: neither party may participate in a class, collective, consolidated or representative action, and the arbitrator may not consolidate proceedings or preside over any form of class proceeding. To the extent permitted by law, each party waives the right to a trial by jury. If the prohibition on class, collective, consolidated or representative proceedings is held unenforceable as to a particular claim, then this entire section 8.4 shall be void as to that claim, which shall proceed in the courts described in section 8.2.
Costs. Payment of filing, administration and arbitrator fees is governed by the AAA’s Consumer Arbitration Rules, and each party bears its own attorneys’ fees except as provided in section 8.3 or as the arbitrator awards under applicable law.
Batching. If twenty-five (25) or more similar arbitration demands are brought against Medibact by the same or coordinated counsel, the AAA shall administer them in batches of up to fifty (50), with one set of filing and administrative fees and one arbitrator per batch, before any of the remaining demands proceed.
Opt-out. You may reject this arbitration agreement and class action waiver, without affecting any other part of these Terms, by emailing [email protected] within thirty (30) days of your first order with the subject line “Arbitration Opt-Out”, stating your name and the email address used for the order.
Consumers whose law provides otherwise. If you are a consumer habitually resident in a jurisdiction whose mandatory law does not give effect to a pre-dispute arbitration agreement (including consumers in the European Economic Area and the United Kingdom), this section 8.4 does not bind you, and section 8.2 governs instead.
Survival. This section survives the completion of any purchase and the termination of these Terms.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. It's your responsibility to monitor changes to these Terms and Conditions.
By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Site.
10. Entire Agreement
These Terms and our Privacy Policy constitute the sole and entire agreement between you and Medibact regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Site.
